Third-party content and technology integration.
Although Net Persuasion will make the best efforts to integrate websites with any required independent third-party content and/or technology services such as – Merchant Account Systems, Shopping Cart Systems, Data Feeds, Database Access and so on – we do not guarantee their functionality, service or up-time and are liable in any way for their performance.

Rights to content and data.
The client does not have rights in any form to collect or distribute to another system or third-party any code, images, content, data, or documentation. The client does not have rights to the custom developed source code, and CMS database information. We do not share our clients information with any third parties. Any source files developed to create the website template or website componants contain techniques that are proprietary to Net Persuasion and will not be provided to the client. Only flattened conceptual layouts will be provided at our discretion.

Payment.
A deposit of half the total amount of the project is due upon signing of the contract. The balance is due upon active website launch. If the project is cancelled or posponed for 60 days the client will pay for work rendered to date.

Warranties.
Net Persuasion warrants to the client all services rendered under the agreement will be performed in a good and workman like manner in accordance with industry standards.

Limitations of liability and damages.
In no event will Net Persuasion be liable for any consequential, special, indirect or incidental damages including by way of example: loss of use, loss of email, lost profits arising out of its use, or cost of procurement of substitute goods or services even if Net Persuasion had been advised in advance of the possibility of such loss, cost of damages, arising out of or in connection with the agreement, or in the use of or performance of software.

Domain name registration.
Upon registering your site with our preferred registra Net Persuasion will be listed as the administrative and billing contact. The client will be listed as the owner of the domain name and be notified when the domain name is up for renewal.

Hosting cancellation.
If a hosting invoice is over 30 days late Net Persuasion has the right to suspend the client's account until the amount owed to date is paid in full. If client wishes to no longer host with Net Persuasion all open invoices must be paid in full before account termination. In addition, there is a $75.00 account termination fee. This fee includes a back-up of the current site hosted to date. The site back-up does not include our exclusive CMS but does include the data files.
